Appendix A

A.1 Purpose and Functional Utility

$OC (OwnershipCoin) functions as a unit of account and settlement utility within the Chill Gallery lease-to-own framework. Its primary purpose is to denominate and facilitate payment obligations associated with the lease-to-own acquisition of Telegram @Usernames.

A.2 Scope of Utility

$OC utility is strictly limited to the following functions:

( a ) Denomination of lease-to-own payment obligations;
( b ) Settlement of such obligations where accepted by The Chill Gallery;
( c ) Alignment of consideration with prior acquisition commitments made to early @Username holders.

$OC does not confer:

( a ) Equity, ownership, or profit participation in The Chill Gallery;
( b ) Governance rights, voting rights, or management influence;
( c ) Rights to dividends, revenue sharing, or cash flows;
( d ) Any claim against assets other than as expressly set out in a specific lease-to-own agreement.

A.3 No Investment Representation

$OC is not offered, marketed, or intended as an investment product. Nothing in the lease-to-own framework, payment denomination, or settlement mechanics should be construed as:

( a ) An offer of securities or financial instruments;
( b ) An inducement to purchase or hold $OC for speculative purposes;
( c ) A representation regarding present or future value, liquidity, or market price of $OC.

A.4 Settlement Flexibility

Although obligations are denominated in $OC, IP owners may elect to settle in fiat currencies or other approved digital assets for operational convenience. Such settlement does not alter the underlying $OC-denominated obligation and does not create foreign exchange, lending, or hedging exposure.

A.5 Risk Allocation

Holders of $OC bear no contractual entitlement to any future lease-to-own transactions, IP owner participation, or demand for $OC. Use of $OC within the lease-to-own model does not imply continuity, minimum usage, or guaranteed demand.

Appendix B

B.1 European Union – MiCA

( a ) $OC is intended to function as a utility token.
( b ) $OC does not purport to be an asset-referenced token or e-money token.
( c ) $OC does not provide a claim on the issuer, reserves, or underlying assets.
( d ) Denomination of contractual obligations in $OC does not constitute a promise of redemption, value stability, or price support.
( e ) Use of $OC is optional for settlement, and no rights arise outside the specific contractual context in which it is used.

B.2 United Kingdom – FCA

For UK regulatory purposes:

( a ) $OC is not structured as a specified investment under the Financial Services and Markets Act 2000.
( b ) The lease-to-own arrangement does not constitute a collective investment scheme, credit agreement, or regulated financial promotion.
( c ) Any reference to $OC utility is limited to functional payment denomination and settlement within a commercial agreement.
( d ) No representation is made that $OC falls within or outside the UK cryptoasset regulatory perimeter, and participants should seek independent advice.

B.3 United States – SEC / Securities Law

For U.S. regulatory purposes:

( a ) $OC is not offered or sold as an investment contract.
( b ) No expectation of profit is derived from the efforts of The Chill Gallery or third parties.
( c ) Use of $OC as a unit of account or settlement mechanism does not imply capital appreciation, income rights, or managerial reliance.
( d ) Accordingly, $OC usage within the lease-to-own framework is intended to fall outside the scope of securities regulation as interpreted under the Howey test, subject to applicable facts and circumstances.

B.4 General Risk Disclosure (Universal)

Prospective participants should understand that:

( a ) $OC may experience volatility or illiquidity;
( b ) Regulatory treatment of digital assets may evolve;
( c ) Use of $OC does not guarantee access to any @Username, lease-to-own arrangement, or future program.
( d ) Participation is purely contractual, governed by the relevant lease-to-own agreement, and independent of secondary market conditions.
